5. FEES AND PAYMENT TERMS

  • All fees are exclusive of applicable taxes unless otherwise stated
  • Payment terms, milestones, and refund policies are governed by our separate Refund Policy

5.2 Payment Obligations

9. LIMITATION OF LIABILITY

9.1 To the maximum extent permitted by law, KP RegTech's total liability for any claims arising from our Services shall not exceed the fees paid by the Client for the specific engagement giving rise to the claim.

9.2 We shall not be liable for:

  • Indirect, consequential, incidental, or punitive damages
  • Loss of profits, revenue, business opportunities, or goodwill
  • Regulatory penalties or enforcement actions against the Client
  • Delays or failures caused by third parties, regulatory authorities, or events beyond our control

10. INDEMNIFICATION

  • Client materials will be returned or destroyed as requested

  • Payment obligations are not met
  • Client breaches these Terms materially
